Financial Dispute Resolution Saudi Arabia: Settlement, and Documentation

Last updated: 2026/10/20

Financial Dispute Resolution Saudi Arabia
When a dispute arises over a debt, contractual entitlement, or money owed between partners, reaching a defined settlement may be more practical than allowing the dispute to continue. Financial Dispute Resolution Saudi Arabia through settlement begins by identifying the claims and supporting documents, negotiating the amount and payment mechanism, drafting the settlement agreement, and documenting it through the appropriate legal channel. This guide explains the procedure through the Taradhi platform, the difference between a private agreement and an approved settlement record, and how a settlement may be enforced if one party fails to perform.

A Financial Dispute Resolution Saudi Arabia may be settled by identifying the disputed right, verifying the parties’ legal capacity and authority, agreeing on the settlement amount, payment dates, and the effect of any waiver, and then recording the settlement in an agreement or settlement record. A conciliation request can be submitted electronically through the Taradhi platform. A settlement record issued by an authorized body or approved in accordance with the applicable legal procedures may constitute an enforceable instrument. A privately signed agreement, however, does not automatically become directly enforceable merely because it has been signed.

What Is Financial Dispute Resolution Saudi Arabia Through Settlement?

A settlement is an agreement that resolves an existing financial dispute or prevents a potential one through mutual concessions regarding all or part of the claims. This is the meaning established by Article 391 of the Saudi Civil Transactions Law published in Umm Al-Qura. A settlement may concern a contractor’s outstanding payment, a loan between individuals, commercial accounts, the value of services, or monetary compensation.

A settlement differs from merely postponing or acknowledging a debt. A settlement resolves the disputed claims according to the terms agreed between the parties. It may include reducing a disputed amount, postponing payment without an increase, or accelerating payment in exchange for a reduction, subject to the applicable legal provisions.

For parties wishing to assess a transaction from both Sharia and legal perspectives, Al-Shatiri & Al-Ghamdi Law Firm’s Sharia Advisory Service for Financial Transactions covers settlement negotiations, drafting settlement agreements, documentation, and follow-up on enforcement.

When Is Settlement Appropriate for a Financial Dispute?

A settlement may be considered where the claim can be identified and both parties have a genuine willingness to resolve the dispute, even if they disagree about the original amount or its value.

Settlement may be suitable in situations such as:

  • Debts and overdue amounts: agreeing on specified installments or reducing part of the claim in exchange for payment.
  • Construction and supply payments: settling amounts due for accepted work or deductions related to technical observations.
  • Accounts between partners: separating personal claims from company accounts and identifying what falls within the settlement.
  • Commercial disputes: resolving disagreements involving invoices, services, or obligations under an existing contract.
  • Compensation claims: agreeing on a financial settlement concerning rights that may legally be settled.

Not every right may be the subject of a settlement. Article 394 of the Civil Transactions Law requires that the subject matter of the settlement be a right for which consideration may lawfully be received. Any special rules governing the particular dispute and the competent authority must also be considered.

If the dispute concerns partners, profits, or ownership interests, our guide to shareholder and partner disputes in Saudi Arabia may help identify the financial issues that can be settled without overlooking the company’s required procedures.

Requirements for a Valid Financial Settlement Agreement

For a settlement agreement to produce its intended legal effect, it must be entered into by parties who have the legal capacity to dispose of the rights covered by the agreement.

Article 392 of the Civil Transactions Law addresses the capacity required to dispose of rights for consideration and requires full legal capacity when a right is waived without consideration. The subject matter must also be lawful, and the agreement should clearly identify each party’s obligations.

  • Mutual consent: both parties must agree on the rights, amounts, payment method, and legal consequences of the agreement.
  • Capacity and authority: verify the identity and legal authority of each party, company representative, or agent, including the agent’s authority to settle or waive rights where necessary.
  • Lawful subject matter: the agreement must not contain provisions contrary to Sharia principles or applicable laws and regulations.
  • Defined claims: identify the specific right or claims covered by the settlement rather than using a broad and undefined general waiver.
  • Enforceable obligations: state the amount, currency, due dates, beneficiary, and method for proving payment.

Articles 400 and 402 of the Civil Transactions Law provide that waivers are interpreted within the limits of the rights that were the subject of the dispute and that a settlement applies only to the matters it covers and resolves. For this reason, a broad “full and final release” clause should not be copied from a general template unless that is genuinely what both parties intend.

Steps for Financial Dispute Resolution Saudi Arabia Before Documentation

  1. Collect the documents: review the original contract, bank statements, invoices, correspondence, meeting minutes, and any document proving the claimed amount or partial payment.
  2. Identify the disputed issues: separate amounts that are agreed from those that are disputed and record the basis relied upon by each party.
  3. Determine the scope of settlement: decide whether the settlement concerns a single claim or all claims arising from a specific contract.
  4. Prepare a clear proposal: specify the settlement amount, repayment schedule, and what waiver or termination of claims will occur in return.
  5. Consider the consequences of breach: agree on what happens if an installment is late, the limits of any release, and whether certain rights remain expressly reserved.
  6. Select the documentation method: this may be a private agreement, conciliation through Taradhi, settlement recorded in pending litigation, or a notarized instrument depending on the transaction and the competent authority.

If negotiations fail, this does not mean that the right is lost or that an unsuitable offer must be accepted. The matter may proceed through the appropriate judicial or procedural route, subject to any requirement that certain commercial claims first go through conciliation or mediation.

How to Submit a Financial Settlement Request Through Taradhi

The Ministry of Justice’s electronic service for submitting a new settlement request allows users to move from Najiz to the Taradhi platform to manage the conciliation process and document the result.

The published steps are:

  1. Log in to the Najiz portal using National Unified Access.
  2. Select “All Electronic Services,” then the “Conciliation” package.
  3. Open the “Submit a New Settlement Request Electronically” service and select “Submit New Request.”
  4. Continue to the Taradhi platform and choose “New Settlement Request.”
  5. Select the type of settlement request, complete the required information, and submit it.
  6. Keep the request confirmation and follow subsequent notifications and procedures through your account.

During the conciliation session, the conciliator discusses the points in dispute and the proposed settlement. If the parties agree on legally valid terms, a settlement record is prepared and the approval process is completed in accordance with the applicable procedures.

If no agreement is reached, the conciliation attempt ends without an approved settlement document. Merely submitting a request should therefore not be treated as a final settlement.

How to Draft a Clear and Enforceable Financial Settlement Agreement

A financial settlement agreement should connect the original dispute with the agreed solution and specify exactly what each party must perform and when. The following are practical drafting elements and not a mandatory template for every type of financial dispute.

ClauseWhat Should It State? Why It Matters
Parties and CapacityNames, identification details, representative capacity, and authority. To prevent disputes about who became legally obligated.
Original ClaimThe source of the debt or contract and the boundaries of the dispute. To identify which rights are included in the settlement.
Agreed AmountSettlement amount, currency, and beneficiary. To remove ambiguity regarding the obligation.
Payment MechanismInstallment dates, payment method, and proof of payment. To determine when payment becomes due and when performance is completed.
Waiver and ReleaseThe scope of rights extinguished and when the release becomes effective. To avoid unintentionally waiving rights that the party did not intend to waive.
Late PerformanceWhat the parties agree will happen in the event of breach, within what the law permits. To reduce the risk of a new dispute over enforcement.
Approval and CopiesMethod of approval and retention of an authenticated copy.To prove the settlement and identify the correct enforcement route.

Illustrative Example: A supplier claims SAR 120,000. The parties agree to settle the claim for SAR 100,000, payable in four equal installments of SAR 25,000 each. The settlement should specify the due dates of all four installments, the method of payment, and whether the release of the remaining claim takes effect immediately upon signing or only after full payment. This is a hypothetical example and not a ready-to-sign settlement agreement.

Article 397 of the Civil Transactions Law permits settlement involving the postponement of all or part of a claimed debt without an increase, or acceleration of payment in exchange for a reduction. Any additional financial provision resulting from delayed payment or a change in the payment date should therefore be reviewed carefully before approval.

Settlement Documentation: Private Agreement vs. Approved Settlement Record

The parties may reach a settlement outside official conciliation offices under the Conciliation Center Regulations. However, the validity of a private agreement between its parties should not be confused with whether that document can be directly enforced through compulsory enforcement procedures.

Form of AgreementGeneral Legal PositionWhat Happens If the Other Party Does Not Perform?
Private Agreement Signed by the PartiesMay create contractual obligations and serve as evidence of the parties’ agreement.Determine whether it independently qualifies as an enforceable instrument; otherwise, an appropriate judicial procedure may be required.
Settlement Record Issued or Approved by an Authorized BodyMay constitute an enforceable instrument when the required approval and legal conditions are satisfied. It may be submitted for enforcement once the obligation falls due and remains unpaid.
Settlement Recorded Before a Court in Pending LitigationIts enforceability depends on how the settlement is recorded, approved, and issued by the court. The instrument issued by the court is used through the appropriate enforcement process.
Notarized Contract or InstrumentIts evidentiary and enforcement status depends on its type, the notary’s authority, and the applicable legal requirements. Its status as an enforceable instrument and the obligation it contains should be verified before enforcement is requested.

Article 9 of the Enforcement Law in force when this article was prepared includes settlement records issued by authorized bodies or approved by courts among enforceable instruments. It also refers to notarized contracts and instruments.

Whether a document can be enforced therefore depends on the type of instrument, the authority of the body that issued or authenticated it, and the nature of the obligation it contains not simply on the existence of a signature or stamp.

According to the Ministry of Justice clarification regarding Taradhi documents, settlement documents issued through the platform after completing the approval process constitute enforceable instruments that may be submitted for enforcement in the event of breach.

Our licensed documentation service in Jeddah provides information about documenting contracts and declarations, subject to confirming the appropriate procedure for the specific subject matter of the settlement.

Enforcing a Financial Settlement Agreement When Payment Is Not Made

Before filing an enforcement request, check three matters: does the document qualify as a recognized enforceable instrument, has the relevant installment or obligation fallen due, and is the other party’s obligation sufficiently specific and enforceable?

If these conditions are met, the Najiz enforcement request service may be used:

  1. Log in to the Najiz portal through National Unified Access.
  2. Select “All Electronic Services,” then the “Enforcement” package.
  3. Select “Submit Enforcement Request,” followed by “Submit New Request.”
  4. Choose the appropriate type of request based on the enforceable instrument and obligation.
  5. Enter the details of the enforcement applicant, the person against whom enforcement is sought, and the claim.
  6. Attach the enforceable instrument and any documents required by the service.
  7. Submit the request, retain its reference number, and monitor its status through Najiz.

If the agreement is merely a private document that does not qualify as an enforceable instrument, do not assume it can be filed directly as though it were an approved settlement record. It may first be necessary to pursue the right before the competent authority or follow another procedure permitted by law, depending on the nature of the document and the parties’ acknowledgments.

Where an enforceable decision or judgment has been issued, see the firm’s litigation and enforcement service for information on available legal assistance.

Legal Update – October 19, 2026: A new Enforcement Law was published on May 1, 2026 and provides that it will take effect 180 days after publication. It had not yet entered into force on the date this article was prepared. Current enforcement procedures therefore remain tied to the law in force when action is taken. This section should be reviewed again once the new law enters into force and related procedural changes become applicable.

What Happens If One Party Breaches the Settlement Agreement?

The appropriate response depends on the wording of the settlement and the nature of the breach.

If a debtor fails to pay an installment when due, the creditor may claim what has become payable under the terms of the enforceable instrument. However, failure to pay one installment does not automatically make all remaining installments immediately due and does not automatically revive the entire original debt unless there is a legally valid basis for that result in the agreement and applicable law.

Importantly, Article 401 of the Civil Transactions Law provides that rights and claims waived under a settlement are extinguished and may not be reclaimed on the basis of the original right covered by the settlement.

The release provisions and their conditions should therefore reflect what the parties genuinely intend before signing rather than relying on an assumption that the full original amount can always be claimed again following any breach.

If a dispute arises over the interpretation or validity of the settlement, an independent judicial determination may be necessary, particularly where the document is unclear regarding the scope of the parties’ obligations. Payment records, notices, and correspondence should be retained from the first payment onward.

Can Banking and Financing Disputes Be Settled?

Yes, subject to the applicable jurisdiction and specialized procedures.

The Settlement Center for Banking and Financing Disputes handles specified categories of disputes between customers and financial institutions under its applicable policy. Requests are subject to requirements relating to the parties, type of dispute, and claim value. Certain other requests may also be accepted by agreement of the parties where permitted by the policy.

When an agreement is reached, the center prepares a settlement record and the required approval is completed through the competent committee according to the applicable procedures.

It should therefore not be assumed that Taradhi is the only route for all banking or financing claims. Depending on the dispute, the appropriate route may instead be the specialized settlement center or competent committee.

Can Financial Dispute Resolution Continue After a Lawsuit Has Been Filed?

Yes. Parties to pending litigation may reach a settlement while the case is being heard, subject to the applicable procedures and jurisdiction.

The settlement should be presented to the court or competent judicial body through the prescribed procedure so that the agreement can be formally recorded and the dispute ended or the remaining issues clearly identified.

In commercial cases, the Implementing Regulations of the Commercial Courts Law regulate conciliation and mediation in certain circumstances before a claim is filed and during litigation.

If the settlement resolves only part of the dispute, the parties should clearly identify which claims have been settled and which remain before the court. A broad statement that the agreement resolves “all disputes” may extend further than intended where other claims remain unresolved.

Common Mistakes in Financial Settlement Agreements

  • Stating the settlement amount without specifying the due date of each installment.
  • Failing to distinguish between the original debt and the reduced settlement amount or to specify when the release takes effect.
  • Allowing a company representative without sufficient authority to accept the settlement or waive rights.
  • Treating an unapproved private agreement as automatically enforceable.
  • Including an overly broad waiver covering contracts or claims that were never discussed.
  • Failing to record previous payments or retained amounts.
  • Selecting a documentation or conciliation body that lacks jurisdiction over the dispute.

Frequently Asked Questions About Financial Dispute Resolution Saudi Arabia

Is a settlement agreement binding on both parties?

A valid settlement agreement creates obligations for the parties within the scope of what they agreed. However, contractual binding effect is different from direct compulsory enforcement, which requires an enforceable instrument satisfying the applicable requirements.

Can the parties settle only part of a debt?

Yes. Article 397 of the Civil Transactions Law permits settlement concerning part of what one party claims against another. The agreement should state whether the remaining claim is extinguished immediately or subject to an arrangement linked to full performance.

Can the settlement amount be paid in installments?

Yes. Article 397 allows the claimed debt or part of it to be postponed without an increase. The agreement should specify each installment amount, due date, payment account or method, and how payment will be evidenced.

How can a financial settlement agreement be documented electronically?

A settlement request may be submitted through Najiz and the Taradhi platform, followed by the conciliation process and approval of the settlement document if the parties agree. Other documentation methods may also be available depending on the type of instrument and competent authority.

Is a Taradhi settlement document an enforceable instrument?

Yes. A settlement document issued and approved through Taradhi in accordance with the applicable legal procedures constitutes an enforceable instrument. A settlement request that does not result in an approved agreement is not itself an enforceable settlement document.

Can a party withdraw from a settlement agreement after signing?

Article 401 of the Civil Transactions Law provides that rights and claims waived under a settlement are extinguished and cannot later be pursued on the original basis. Any claim that another legal ground affects the validity of the settlement must be considered separately.

Must the parties go to court to complete a financial settlement?

Not always. A settlement may be reached outside court, and Taradhi also provides electronic conciliation. However, obtaining an enforceable instrument requires following the appropriate approval or documentation route rather than relying solely on an agreement that does not satisfy the relevant requirements.

Can a lawyer enter into a settlement on behalf of a client?

An authorized representative may conduct settlement negotiations and conclude a settlement within the scope of the authority granted. The power of attorney should be reviewed carefully, particularly where the agreement involves acknowledging a right, waiving a claim, or granting a release.

Does a court dispute end automatically once the parties agree to settle?

If proceedings are already pending, the agreement must be dealt with through the appropriate judicial procedure so that the settlement and its effect on the case are formally recorded. The procedure may differ depending on whether the settlement resolves all claims or only part of them.

Effective Financial Dispute Resolution Saudi Arabia begins with clearly defining the claim and ends with a document that states exactly what must be paid and which rights have been extinguished through settlement.

Before signing, review the scope of the waiver, payment schedule, and whether the resulting document is capable of enforcement. These details determine what may still be claimed if a dispute arises later. If the agreement is ready for review or negotiations have stalled, you can request an assessment through the Al-Shatiri & Al-Ghamdi Law Firm contact page.
